Terms of Service

Please read these terms carefully before using the Y-ERP platform. By accessing or using our services, you agree to be bound by these terms.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Y-ERP Systems & Technologies ("Y-ERP," "we," "us," or "our"), governing your access to and use of the Y-ERP platform, website at y-erp.co, and all related services (collectively, the "Service").

By creating an account, accessing, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree with any part of these Terms, you must not access or use the Service.

2. Description of Service

Y-ERP is a cloud-based, AI-native enterprise resource planning (ERP) platform delivered as a multi-tenant software-as-a-service (SaaS) solution. The Service includes, but is not limited to, the following modules and capabilities:

  • Customer Relationship Management (CRM) — contact management, pipeline tracking, deal management, and customer communications.
  • Finance — invoicing, expense tracking, financial reporting, and accounting integrations.
  • Human Resources (HR) — employee management, onboarding workflows, and organizational tools.
  • AI-Powered Features — intelligent automation, predictive analytics, natural language processing, and AI-assisted workflows that enhance productivity across all modules.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify users of material changes that affect their use of the Service.

3. Account Registration

To access certain features of the Service, you must create an account. When registering, you agree to:

  • Provide accurate, current, and complete information during the registration process.
  • Maintain and promptly update your account information to keep it accurate, current, and complete.
  • Maintain the security and confidentiality of your login credentials, including your password and any API keys or access tokens.
  • Accept responsibility for all activities that occur under your account, whether or not authorized by you.
  • Notify us immediately at support@y-erp.co if you suspect any unauthorized access to or use of your account.

You must be at least 18 years of age (or the age of legal majority in your jurisdiction, whichever is greater) to create an account and use the Service. By creating an account, you represent and warrant that you meet this requirement.

We reserve the right to suspend or terminate any account that we reasonably believe violates these Terms or poses a security risk to the Service or other users.

4. Subscription & Billing

4.1 Plans and Pricing

Y-ERP offers multiple subscription tiers designed to accommodate organizations of varying sizes and requirements:

  • Free Plan — A limited-feature tier available at no cost, subject to usage restrictions as described on our pricing page.
  • Pro Plan — USD $25 per month, providing expanded features, increased usage limits, and priority support.
  • Enterprise Plan — USD $50 per month, offering the full suite of features, advanced AI capabilities, enhanced support, and additional administrative controls.

All prices are quoted in United States Dollars (USD) and are exclusive of applicable taxes, duties, or levies imposed by your jurisdiction. You are responsible for any such taxes associated with your subscription.

4.2 Founding Partner Program

Y-ERP may offer a Founding Partner program to early adopters. Participants in this program receive a locked-in subscription rate for the duration specified at enrollment, subject to continued compliance with these Terms and uninterrupted subscription status. Specific terms of the Founding Partner program will be communicated at the time of enrollment and form part of these Terms.

4.3 Billing Cycle and Payment

Paid subscriptions are billed on a recurring monthly basis beginning on the date of your initial subscription. Payment is due at the start of each billing cycle. We accept payment methods as indicated on our platform. You authorize us to charge your selected payment method for all fees incurred under your account.

4.4 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Upon cancellation:

  • Your subscription will remain active until the end of the current billing period.
  • You will not be charged for subsequent billing periods.
  • No partial refunds will be issued for unused portions of a billing period, unless required by applicable law.
  • Your account will revert to the Free Plan at the end of the paid billing period, and you may lose access to features and data associated with your paid plan.

4.5 Price Changes

We reserve the right to modify our pricing at any time. Any price changes will be communicated to you at least 30 days before they take effect. Continued use of a paid plan after a price change constitutes acceptance of the new pricing. Founding Partner rates are exempt from general price increases for the duration specified in the Founding Partner agreement.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not, and shall not permit any third party to:

  • Use the Service in violation of any applicable local, national, or international law or regulation.
  • Upload, transmit, or store any content that is unlawful, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable.
  • Attempt to gain unauthorized access to the Service, other user accounts, or any computer systems or networks connected to the Service.
  • Interfere with, disrupt, or place an undue burden on the Service or the networks and infrastructure used to provide it.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code, or underlying algorithms of the Service.
  • Use automated means (including bots, scrapers, or crawlers) to access the Service without our express written permission.
  • Resell, sublicense, lease, or otherwise redistribute the Service to any third party without our prior written consent.
  • Use the Service to develop a competing product or service, or to benchmark the Service for competitive purposes.
  • Circumvent, disable, or otherwise interfere with any security-related features of the Service, including features that prevent or restrict use or copying of content.
  • Misuse AI-powered features by attempting to extract underlying model weights, training data, or proprietary algorithms, or by using AI outputs to generate misleading, fraudulent, or harmful content.

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this section, including without limitation, removing content, suspending or terminating accounts, and reporting violations to law enforcement authorities.

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including all software, code, algorithms, AI models, user interface designs, graphics, logos, trademarks, documentation, and all other materials provided by Y-ERP (collectively, "Y-ERP Materials"), are the exclusive property of Y-ERP Systems & Technologies and its licensors. The Y-ERP Materials are protected by intellectual property laws in all applicable jurisdictions.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes during the term of your subscription.

6.2 Feedback

If you provide us with any suggestions, ideas, enhancement requests, feedback, or other recommendations regarding the Service ("Feedback"), you hereby grant us an unrestricted, perpetual, irrevocable, non-exclusive, fully-paid, royalty-free right to use such Feedback in any manner and for any purpose, without compensation or attribution to you.

6.3 AI-Generated Outputs

The Service may generate outputs using artificial intelligence ("AI Outputs"). While you may use AI Outputs in connection with your business activities, you acknowledge that:

  • AI Outputs are generated algorithmically and may not be unique to you; similar outputs may be generated for other users.
  • You are responsible for reviewing, validating, and determining the suitability of any AI Outputs before relying on them.
  • Y-ERP does not claim ownership over AI Outputs generated from your data, but retains all rights in the underlying AI models and technologies used to produce such outputs.

7. Data Ownership & Privacy

7.1 Your Data

You retain all ownership rights in any data, content, or materials that you upload, submit, or transmit through the Service ("Your Data"). Y-ERP does not claim ownership of Your Data.

By using the Service, you grant Y-ERP a limited, non-exclusive, worldwide license to access, use, process, copy, and display Your Data solely as necessary to operate, maintain, and improve the Service, and to provide support to you. This license terminates when Your Data is deleted from the Service.

7.2 Data Security

We implement commercially reasonable technical and organizational measures to protect Your Data against unauthorized access, alteration, disclosure, or destruction. However, no method of electronic storage or transmission is completely secure, and we cannot guarantee absolute security.

7.3 Data Processing

As a multi-tenant SaaS platform, Your Data is logically isolated from other users' data within our infrastructure. Our data handling practices are described in detail in our Privacy Policy. By using the Service, you consent to the collection, processing, and storage of data as described therein.

7.4 Data Portability

You may export Your Data from the Service at any time using the export tools available in your account settings. Upon termination of your account, we will make Your Data available for export for a reasonable period (not less than 30 days) before it is permanently deleted from our systems, unless a longer retention period is required by applicable law.

7.5 AI and Your Data

Our AI-powered features may process Your Data to generate insights, recommendations, and automated workflows. Your Data will not be used to train general-purpose AI models accessible to other users without your explicit consent. Any aggregated, anonymized, or de-identified data derived from Your Data may be used by Y-ERP for the purposes of improving the Service, provided that such data cannot reasonably be used to identify you or your organization.

8. Disclaimers & Limitations of Liability

8.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, Y-ERP DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

Without limiting the foregoing, Y-ERP does not warrant that:

  • The Service will be uninterrupted, timely, secure, or error-free.
  • The results obtained from the use of the Service (including AI-generated outputs) will be accurate, reliable, or complete.
  • The Service will meet your specific requirements or expectations.
  • Any errors or defects in the Service will be corrected.

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Y-ERP, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, GOODWILL, USE, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to, use of, or inability to access or use the Service.
  • Any conduct or content of any third party on the Service.
  • Any content obtained from the Service, including reliance on AI-generated outputs.
  • Unauthorized access, use, or alteration of your transmissions or data.

IN NO EVENT SHALL Y-ERP'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO Y-ERP IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100).

THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF Y-ERP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8.3 Essential Purpose

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law. Nothing in these Terms shall exclude or limit liability that cannot be excluded or limited under applicable law.

9. Termination

9.1 Termination by You

You may terminate your account and these Terms at any time by canceling your subscription and deleting your account through the account settings, or by contacting us at support@y-erp.co. Termination will take effect at the end of your current billing period.

9.2 Termination by Y-ERP

We may suspend or terminate your access to the Service, effective immediately and without prior notice, if:

  • You breach any provision of these Terms or any applicable law.
  • We are required to do so by law, regulation, or a valid legal order.
  • Your account has been inactive for an extended period as defined in our then-current policies.
  • We reasonably determine that your use of the Service poses a security risk or may cause harm to other users, the Service, or third parties.
  • We cease to offer the Service (in which case we will provide at least 60 days' notice).

9.3 Effect of Termination

Upon termination of your account:

  • Your right to access and use the Service will cease immediately (or at the end of the billing period, for voluntary cancellations).
  • We will make Your Data available for export for a minimum of 30 days following termination, after which it may be permanently deleted.
  • Any outstanding fees owed to Y-ERP will become immediately due and payable.
  • Sections of these Terms that by their nature should survive termination (including, without limitation, Intellectual Property, Disclaimers & Limitations of Liability, Governing Law, and any accrued obligations) will continue in full force and effect.

10. Governing Law & Dispute Resolution

10.1 Governing Law

These Terms shall be governed by and construed in accordance with the applicable laws of the jurisdiction in which Y-ERP Systems & Technologies is incorporated, without regard to its conflict of law provisions.

10.2 Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Service, the parties agree to first attempt to resolve the matter through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue resolution through binding arbitration or in the courts of competent jurisdiction, as determined by the applicable law governing these Terms.

10.3 Class Action Waiver

To the extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of a class, consolidated, or representative action. If this waiver is found to be unenforceable in your jurisdiction, this clause shall be severed and the remainder of these Terms shall continue in full force and effect.

11. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes, we will:

  • Update the "Last updated" date at the top of this page.
  • Notify you of material changes via email to the address associated with your account, an in-app notification, or a prominent notice on our website, at least 30 days before the changes take effect.
  • Provide you with the opportunity to review the revised Terms before they become effective.

Your continued use of the Service after the effective date of any revised Terms constitutes your acceptance of those changes. If you do not agree with any modifications, you must discontinue use of the Service and terminate your account before the revised Terms take effect.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy and any plan-specific or program-specific terms (such as the Founding Partner agreement), constitute the entire agreement between you and Y-ERP regarding the Service, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.

12.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity of any provision shall not affect the validity or enforceability of the remaining provisions.

12.3 Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

12.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Y-ERP may assign its rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.

12.5 Force Majeure

Y-ERP shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay arises from circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, pandemic, internet or telecommunications failures, cyberattacks, or power outages.
